Terms of Service
Last updated: September 28, 2026
These Terms of Service ("Terms") are an agreement between you and Simpli Software LLC ("Simpli Software", "we", "us") for your use of Simpli Fleet Pro, including the web app, the mobile app and this website (the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the business you represent ("you").
1. The Service
Fleet Pro is subscription software for running a fleet: vehicles, drivers, maintenance and work orders, inspections, fuel and IFTA records, parts, documents, dispatch, reservations and bookings, and optional connections to services such as QuickBooks Online and telematics providers. We may add, change or remove features over time. If we remove a feature you pay for, we'll give you reasonable notice.
2. Accounts and your team
- You must give accurate information and keep it current.
- You're responsible for your team's logins, for the roles and permissions you assign, and for everything done under your account.
- Tell us promptly at contact@simplifleetpro.com if you think your account has been accessed without permission.
3. Subscription and payment
- The Service is billed by subscription, in advance, through Stripe. Prices and any add-ons are shown when you subscribe.
- Taxes may be added where they apply.
- You can cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Fees already paid are non-refundable, except where the law requires otherwise.
- We may change prices with at least 30 days' notice. The new price applies from your next billing period after that notice.
- If a payment fails and isn't fixed, we may suspend the account until it is.
4. Your data
You own the data you put into the Service. You give us permission to host, process and transmit it only as needed to provide the Service, as described in our Privacy Policy. You're responsible for its accuracy and for having the right to enter it, including information about your own customers, drivers and passengers.
You can ask for a copy of your data at any time while your account is open, and for 30 days after it closes, by emailing contact@simplifleetpro.com.
5. Texts, notifications and tracking links
Fleet Pro can send texts, emails and tracking links to your customers on your behalf. You decide who receives them, and you're responsible for having the consent the law requires, including under the Telephone Consumer Protection Act, before texting anyone, and for honoring requests to stop. A tracking link shows the recipient only the stop it was created for.
6. Your fleet and regulatory responsibilities
Fleet Pro is a record-keeping and planning tool. It doesn't replace your own judgment or your legal duties. You remain responsible for your vehicles' safety and roadworthiness, driver qualifications and hours of service, inspections, recall repairs, fuel tax filings (including IFTA), insurance and any other rules that apply to your operation. Reminders, recall notices, reports and calculations in the Service help with those duties, but check them against the official requirements before you rely on them.
7. Third-party services
Some features rely on services from other companies, such as Stripe, Twilio, Intuit (QuickBooks Online), telematics providers and flight data providers. When you connect one of these services, your use of it is also governed by that provider's terms. We aren't responsible for their services, their availability, or the accuracy of the data they provide, such as flight times or telematics readings. You can disconnect QuickBooks or a telematics provider at any time.
8. Acceptable use
You agree not to:
- access data or accounts you aren't authorized to access, or probe, scan or test the Service's security without our written permission;
- disrupt, overload or reverse-engineer the Service;
- use the Service to send spam or unlawful messages, or for any unlawful purpose;
- resell or share the Service outside your business without our permission.
9. Availability and support
We work to keep the Service available and backed up, but we don't promise it will be uninterrupted or error-free. We may carry out maintenance, ideally outside business hours. Support is available by email.
10. Disclaimer of warranties
Except as stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.
11. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.
12. Suspension and termination
You can stop using the Service and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, if you don't pay, or if we must do so by law. Where we reasonably can, we'll warn you first and give you a chance to fix the problem. After your account closes, we delete your data as described in our Privacy Policy.
13. Changes to these Terms
We may update these Terms. For a material change, we'll update the date above and tell account owners by email or in the app at least 30 days before it takes effect. If you keep using the Service after that, the new Terms apply.
14. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction.
